- You are responsible for keeping your login credentials secure and for all activity that occurs under your account.
- You must be authorized to act on behalf of any organization you connect to the platform.

- Upload malware, viruses, or any harmful code.

4. Payments and billing

Proximent Solutions retains all rights, title, and interest in the platform, its code, designs, trademarks, and branding. You retain ownership of the business data you enter or upload. We receive the limited rights needed to host, process, and display that data so we can provide the service to you.

We treat your business data as confidential and use it only to operate and improve the service, as described in our Privacy Policy. You are responsible for the accuracy and legality of the data you submit.
7. Disclaimers
The service is provided on an "as is" and "as available" basis. We do not warrant that the service will be uninterrupted, error-free, or suitable for every purpose. You are responsible for how you use outputs from bookkeeping, tax, payroll, inventory, and other operational features, including verification with qualified professionals where appropriate.
8. Limitation of liability
To the maximum extent permitted by law, Proximent Solutions and its parent organization, Proximent, will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity arising out of or related to your use of the service.
9. Indemnification
You agree to defend, indemnify, and hold harmless Proximent Solutions and Proximent from any claims, damages, or expenses arising from your misuse of the service, your violation of these terms, or your infringement of any third-party right.
10. Termination
We may suspend or terminate your access if you violate these terms or if required by law. You may stop using the service at any time. Upon termination, certain provisions of these terms will survive, including those relating to ownership, confidentiality, and limitations of liability.
11. Governing law and disputes
These terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-law principles. Any dispute arising from these terms or the service will be resolved in the state or federal courts located in Texas. Before filing a claim, the parties agree to attempt to resolve the dispute informally by contacting each other directly.
